Dear Sirs ,

We , RANPETROL ENEGY CORPORATION, Inc are READY, WILLING and ABLE to purchase the following Commodity under the terms and conditions as specified hereunder, subject to the final contract.

Commodity: M-100 1% (See attached Specifications)
Term: 60 Months with Extensions
Quantity: 500,000 Mt. or more per month up to 1,000,000 Mt. per contract
Origin: From Russia or as directed by Seller with Buyer’s Approval
Delivery: China or as requested by Buyer
Discount: $7.00 USD per Mt. Net to the Buyer
Price: Platts Marketscan for CIF delivery
Payment: By Irrevocable, Revolving and Confirmed Sight Letter of Credit.
Performance Bond: 2% of Goods Value in favor of Buyer.
Validity: ICPO must be accepted by 4:00pm Pacific Time on August 14, 2004.

Procedures:

1. Seller issues FCO to Buyer.
2. Buyer issues an ICPO accepting the terms and conditions of Seller’s FCO and sign the Seller’s FCO.
3. Seller signs and seals ICPO and returns ICPO with Seller’s DRAFT Contract.
4. Seller sends sample of product to Buyer (2kg) for confirmation of specifications if required.
5. Buyer reviews DRAFT Contract, signs and seals with corrections, if any, and returns to Seller signed and sealed for Sellers execution.
6. Seller issues signed and sealed final contract and demonstrates Proof of Product (POP).
7. Buyer issues a Non-Operative Sight Letter of Credit after Contract is fully executed, which is Irrevocable, Revolving and Confirmed.

8. Seller will issue Performance Bond to activate the Sight Letter of Credit. The Performance Bond will be issued after the Seller’s acceptance of the Sight Letter of Credit.
9. Loading will commence within 30 days of the issuance of the Performance Bond.
